How Start an LLC in Alabama?

If you plan to organize your LLC in Alabama, you will be considered a "Domestic" LLC. Your entity must contain the words "Limited Liability Company" or the abbreviation "LLC" or "L.L.C." Alabama requires that you obtain a Certificate of Name Reservation prior to filing your formation documents. File one original and two copies of the Certificate of Formation along with the Certificate of Name Reservation in the Office of the Judge of Probate in the county where the registered office is located. Include separate payment of $100 for the Secretary of State filing fee. Once processed, the Probate Judge will forward the Secretary of State filing fees and the filed copy to the SOS.

*Expedite Option to SOS: Additional $100. SOS will index a filing in approximately 3 days after date of receipt from the Office of the County Probate Judge.


How to Register a Foreign LLC in Alabama?

If your LLC was formed in another state and you plan to register and do business in Alabama, you will be considered a "Foreign" LLC. Your entity must contain words "Limited Liability Company" or the abbreviation "LLC" or "L.L.C." Alabama requires that you obtain a Certificate of Name Reservation prior to filing your registration documents. 
Mail the Application for Registration to the Secretary of State along with a copy of the Name Registration. Include $150 for standard processing or $250 for expedited processing, filed in approximately 3 business days. Online filing option is also available for this entity type. Online filing fee is $250.


How to Start a Corporation in Alabama?

If you will be incorporating in Alabama, you will be a "Domestic" corporation. Your corporate name must contain the words "Corporation" or "Incorporated" or an abbreviation of "Corp." or "Inc." Alabama requires that you obtain a Certificate of Name Reservation prior to filing your Domestic Business Corporation Certificate of Formation. File one original and two copies of the Certificate of Formation along with the Certificate of Name Reservation in the Office of the Judge of Probate in the county where the registered office is located. Include separate payment of $100 for the Secretary of State filing fee. Once processed, the Probate Judge will forward the Secretary of State filing fees and the filed copy to the SOS.

How to Register a Foreign Corporation in Alabama?

If your corporation was incorporated in another state and you plan to qualify to do business in Alabama, you will be considered a "Foreign" corporation. Alabama requires that you obtain a Name Reservation Certificate prior to filing your application for certificate of authority. Mail two signed original Applications for Registration along with a copy of your name registration to the Secretary of State. You must include a certified copy of your Articles of Incorporation from the jurisdiction where you were incorporated. Filing fee is $150.
