This is a courtesy reminder that your 2024 Annual Statements and Reports are due on or before, Monday, February 15! Please do not miss this important deadline. Failure to file by February 15 will result in a penalty of $50. Reports can be filed electronically at www.michigan.gov/fileonline or URS can file the report for a small service fee. If mailing the Annual Statements and Reports it must be received by February 15, 2024.
Failure to file the Annual Statements and Reports within 2 years of the due date will no longer be in good standing. A limited liability company that is not in good standing is not entitled to issuance by the administrator of a Certificate of Good Standing, the name of the company is available for use by another entity filing with the administrator, and the administrator shall not accept for filing any document submitted by the limited liability company, other than a Certificate of Restoration of Good Standing. However, the limited liability company remains in existence and may continue to transact business in the state.
