How to Start a Corporation in Illinois?

If you plan to incorporate in Illinois, you will file Articles of Incorporation, Form BCA2.10. This can be filed online, by mail or delivery to the Secretary of State's office. If mailing or delivering, submit in duplicate. The company name must contain one of the following words or an abbreviation of the word: "Corporation," "Company," "Incorporated," or "Limited." The filing fee is $150. The minimum initial franchise tax is $25, for a minimum total fee of $175. The initial franchise tax is assessed at the rate of 15/100 of 1 percent, or $1.50 per $1000, on the paid-in capital represented in the state.
Expedited 24 hour filing is available, but only for documents delivered in person to the Springfield or Chicago office. A separate additional fee of $100 applies.
**If you file online, a $100 expedite fee will be included as Articles of Incorporation are reviewed within 24 hours of receipt. There is also a $6.25 payment processing fee, for a total due of $281.25 for online filings.


How to Register a Foreign Corporation in Illinois?

To register as a Foreign Corporation in Illinois, you will file the Application for Authority to Transact Business in Illinois, Form BCA 13.15. The company name must contain one of the following words or an abbreviation of the word: "Corporation," "Company," "Incorporated," or "Limited." A Certified Copy of the Articles of Incorporation and any Amendments must be included from the state of incorporation. They must be dated within 90 days of the filing to Illinois. Submit in duplicate to the Secretary of State's office. The minimum filing fee is $175. The amount may vary depending on the amount of paid-in capital and the proportion of property and business that will be located in Illinois. This is computed by the Department of Business Services after submission of the completed application. They will notify you of any additional amounts due.

Every year, beginning the year following this filing, every foreign corporation will be required to file an Annual Report with a $75 filing fee and pay an annual franchise tax, which is a minimum of $25.


How to Start an LLC in Illinois?

If you plan to organize your LLC in Illinois, you will file Articles of Organization, Form LLC-5.5. This can be filed online, by mail or delivery to the Secretary of State's office. If mailing or delivering, submit in duplicate. The name of the company must contain one of the following words or abbreviations: "Limited Liability Company," "LLC," or "L.L.C."
Filing fee is $150. Paper filings must be submitted in duplicate. Expedited 24 hour filing is available, but only for documents delivered in person to the Springfield or Chicago office. A separate additional fee of $100 applies.

Submit in duplicate. This must be submitted with a Certificate of Good Standing or Certificate of Existence from the state of organization. This must be dated within 60 days of the filing to Illinois.
Filing fee is $150. Expedited 24 hour filing is available, but only for documents delivered in person to the Springfield or Chicago office. A separate additional fee of $100 applies.
