How to Start an LLC in Iowa?

A "Domestic" LLC will be a limited liability company organized in Iowa by filing the Certificate of Organization with the Secretary of State. The state does not have an official paper form for this type of filing, so if you wish to file by paper, you will have to draft your own Certificate. Refer to the Iowa Code 489.201 for requirements. Your drafted Certificate of Organization can be mailed, delivered, or walked in to the Secretary of State's office for filing. There is also an online filing option.
The name of the company must contain the one of the following words or abbreviations: "Limited Liability Company," "Limited Company," "LLC," "L.L.C.," "L.C.," or "LC." "Limited" may be abbreviated ad "Ltd." and "Company" may be abbreviated as "Co."

Filing fee is $50.

Every domestic and foreign limited liability company is required to file a biennial report. The first report will be due between January 1 and April 1 of the first odd-numbered year after the calendar year in which the LLC was formed or registered. A subsequent biennial report will be due between January 1 and April 1 of each following odd-numbered calendar year.
