How to Start a Corporation in Wyoming?

Wyoming is an attractive state to incorporate in as they have no corporate income tax, lower initial filing fees and ongoing renewal fees, and a high level of asset protection and business privacy.
If you plan to incorporate in Wyoming, you will file the Profit Corporation Articles of Incorporation. Submit the following to the Secretary of State by mail:
1) One originally signed Articles of Incorporation and one copy. (Original signature is key. They are sticklers.)
2) Filing fee of $100
3) One originally signed Consent to Appointment by Registered Agent form and one copy. (Again, must be original signature.)

Filing time is approximately 3-5 business days. They do not have an expedited option.


How to Register a Foreign Corporation in Wyoming?

In order to transact business in Wyoming as a Foreign Corporation, you must file the Foreign Profit Corporation Application for Certificate of Authority. Submit the following to the Secretary of State by mail:
1) One originally signed Application for Certificate of Authority and one copy
2) Filing fee of $100
3) Original Certificate of Existence or Certificate of Good Standing from state of incorporation. Must be dated not more than 60 days prior to filing with Wyoming.
4) One originally signed Consent to Appointment by Registered Agent form and one copy.

How to Start an LLC in Wyoming?

If you choose to organize your LLC in Wyoming you will need to file Limited Liability Company Articles of Organization. The name of the company must include the words "Limited Liability Company," "Limited Company," "Ltd. Liability Company," "Limited Liability Co.," or the abbreviations "LLC," "L.L.C.," "LC," or "L.C." Submit the following to the Secretary of State by mail:
1) One originally signed Articles of Organization and one copy
2) Filing fee of $100
3) One originally signed Consent to Appointment by Registered Agent form and one copy

How to Register a Foreign LLC in Wyoming?

In order to transact business in Wyoming as a Foreign LLC, you must file the Foreign Limited Liability Company Application for Certificate of Authority. Submit the following to the Secretary of State by mail:
1) One originally signed Application for Certificate of Authority and one copy
2) Filing fee of $100
3) Original Certificate of Existence or Certificate of Good Standing from state of formation dated not more than 60 days prior to filing in Wyoming.
4) One originally signed Consent to Appointment by Registered Agent form and one copy
